Teil A — Allgemeine Bestimmungen
§ 1 Geltungsbereich, Anbieter, Vertragssprache
(1) Diese Allgemeinen Geschäftsbedingungen gelten für alle Verträge über die Überlassung der Software „MINILAB.PHOTO" zwischen Christoph Klutsch, Bernardstraße 14, 63067 Offenbach am Main (nachfolgend „Anbieter") und dem Kunden.
(2) Das Angebot richtet sich ausschließlich an Unternehmer im Sinne des § 14 BGB sowie an vergleichbare gewerbliche oder selbständig-berufliche Nutzer außerhalb Deutschlands — insbesondere an berufsmäßig, auch nebenberuflich tätige Fotografinnen und Fotografen, Studios und Agenturen. Verträge mit Verbrauchern im Sinne des § 13 BGB werden nicht geschlossen. Mit der Bestellung erklärt der Kunde, in Ausübung seiner gewerblichen oder selbständigen beruflichen Tätigkeit zu handeln. Der Anbieter ist berechtigt, den Vertrag anzufechten oder von ihm zurückzutreten, wenn diese Erklärung unrichtig ist.
(3) Vertragssprache ist Deutsch. Die deutsche Fassung dieser Bedingungen ist maßgeblich; die englische Fassung dient ausschließlich der Information und begründet keine eigenen Rechte.
§ 2 Vertragsgegenstand
(1) MINILAB.PHOTO ist eine Anwendung zur Bildbearbeitung, die vollständig im Browser des Kunden ausgeführt wird. Bilddaten werden zu keinem Zeitpunkt an den Anbieter oder an Dritte übertragen.
(2) Die Anwendung wird in zwei Fassungen bereitgestellt:
a) Freie Fassung. Sie ist ohne Entgelt, ohne Kundenkonto und ohne zeitliche Begrenzung nutzbar. Sie enthält den Programmteil zum Speichern und Exportieren von Dateien technisch nicht. Ein Anspruch auf ihre dauerhafte Bereitstellung besteht nicht.
b) Lizenzfassung. Sie ermöglicht zusätzlich das Speichern und Exportieren von Bildern (bis 6000 Pixel an der längeren Kante), das Speichern und Laden von Bearbeitungsvorgaben („Rezepte") sowie den Export des Kontaktbogens.
(3) Die Beschaffenheit der Software ergibt sich aus der Produktbeschreibung auf der Website zum Zeitpunkt des Vertragsschlusses.
§ 3 Vertragsschluss
(1) Die Darstellung der Leistungen auf der Website ist kein bindendes Angebot, sondern eine Aufforderung zur Bestellung.
(2) Mit Anklicken der abschließenden Bestellschaltfläche gibt der Kunde ein verbindliches Angebot ab.
(3) Der Vertrag kommt zustande, sobald der Anbieter die Bestellung durch Bestätigung per E-Mail annimmt, spätestens jedoch mit erfolgreichem Abschluss des Zahlungsvorgangs (Autorisierung der Zahlung durch den Zahlungsdienstleister). Der Vertragstext wird gespeichert und dem Kunden mit der Bestätigung übersandt.
§ 4 Preise und Zahlung
(1) Alle Preise verstehen sich netto zuzüglich der jeweils anfallenden Umsatzsteuer, die im Bestellvorgang nach dem Recht des Bestimmungslandes berechnet und ausgewiesen wird.
(2) Die Zahlung wird über den Zahlungsdienstleister Stripe Payments Europe Ltd., Dublin, Irland abgewickelt.
(3) Die Rechnung wird elektronisch erstellt und per E-Mail übersandt.
§ 5 Nutzungsrecht, Geräte
(1) Der Anbieter räumt dem Kunden ein einfaches, nicht ausschließliches Recht ein, die Lizenzfassung zu den Bedingungen des jeweils erworbenen Produkts (Teil B oder Teil C) zu nutzen.
(2) Die Lizenz berechtigt zur Nutzung auf bis zu drei Geräten gleichzeitig. Der Kunde kann Geräte im Kundenbereich jederzeit selbst abmelden und dadurch einen Platz freigeben.
(3) Der Kunde darf die Software nicht vermieten, unterlizenzieren oder Dritten zur Mitnutzung überlassen. Beim Abonnement ist das Nutzungsrecht nicht übertragbar. Bei der Dauerlizenz darf der Kunde die Lizenz insgesamt an einen Dritten veräußern, wenn er sämtliche eigenen Installationen deaktiviert, alle Kopien löscht und die Übertragung dem Anbieter zur Umschreibung anzeigt; eine Aufspaltung der Lizenz ist unzulässig.
(4) Jede zum Download bereitgestellte Lizenzfassung trägt eine eingebettete, pseudonyme Kundenkennung zur Aufklärung unbefugter Weitergabe (Einzelheiten in der Datenschutzerklärung).
§ 6 Gewährleistung und Haftung
(1) Es gelten die gesetzlichen Bestimmungen; gegenüber Verbrauchern insbesondere die §§ 327 ff. BGB.
(2) Der Anbieter haftet unbeschränkt bei Vorsatz und grober Fahrlässigkeit, bei Verletzung von Leben, Körper und Gesundheit sowie nach dem Produkthaftungsgesetz. Bei leicht fahrlässiger Verletzung wesentlicher Vertragspflichten (Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertrauen darf) ist die Haftung auf den vertragstypischen, vorhersehbaren Schaden begrenzt. Im Übrigen ist die Haftung ausgeschlossen.
(3) Der Anbieter schuldet keine ununterbrochene Verfügbarkeit der über die Website bereitgestellten Fassung.
§ 7 Sperrung der Lizenz
(1) Der Anbieter ist berechtigt, eine Lizenz vorübergehend zu sperren, wenn
a) die Zahlung des Kaufpreises zurückgebucht wurde und die Entgeltforderung
fortbesteht, oder
b) konkrete, dokumentierte Anhaltspunkte dafür bestehen, dass die Lizenz oder
das Berechtigungsmerkmal unbefugt an Dritte weitergegeben wurde.
(2) Der Anbieter kündigt die Sperrung vorab in Textform unter Angabe des Grundes an und gibt dem Kunden Gelegenheit zur Stellungnahme mit einer Frist von mindestens sieben Tagen; danach entscheidet er erneut. Die vorherige Ankündigung entfällt nur, wenn sie die Aufklärung vereiteln würde oder die sofortige Sperrung zur Abwehr erheblicher Nachteile erforderlich ist; Anhörung und erneute Entscheidung werden dann unverzüglich nachgeholt.
(3) Die Sperrung wird unverzüglich aufgehoben, sobald der Grund entfallen ist, insbesondere nach vollständiger Zahlung. Eine endgültige Entziehung der Lizenz bleibt der Kündigung aus wichtigem Grund vorbehalten.
§ 8 Einstellung des Dienstes
Stellt der Anbieter den Betrieb des Lizenzdienstes dauerhaft ein, stellt er allen Inhabern einer Dauerlizenz eine Fassung bereit, die ohne Serverkontakt dauerhaft nutzbar bleibt und dem letzten ausgelieferten Funktionsstand entspricht. Diese Pflicht ist Bestandteil des Kaufvertrags über die Dauerlizenz. Der Kunde wird darauf hingewiesen, dass diese Zusage im Fall der Insolvenz des Anbieters nur nach Maßgabe des Insolvenzrechts durchsetzbar ist.
§ 9 Widerrufsrecht
Verbrauchern steht ein gesetzliches Widerrufsrecht nach Maßgabe der Widerrufsbelehrung zu. Die Belehrung wird vorsorglich jedem Kunden erteilt; die Erklärung nach § 1 Abs. 2 bleibt unberührt.
§ 10 Schlussbestimmungen
(1) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts. Gegenüber Verbrauchern gilt diese Rechtswahl nur, soweit dadurch der Schutz zwingender Vorschriften des Staates ihres gewöhnlichen Aufenthalts nicht entzogen wird (Art. 6 Abs. 2 Rom-I-VO).
(2) Ist der Kunde Unternehmer, ist ausschließlicher Gerichtsstand der Sitz des Anbieters. Der Anbieter darf den Kunden auch an dessen allgemeinem Gerichtsstand verklagen.
(3) Sollte eine Bestimmung unwirksam sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.
Teil B — Abonnement (Monats- und Jahresabo)
§ 11 Laufzeit, Verlängerung, Kündigung
(1) Das Abonnement läuft für die gewählte Periode (ein Monat oder ein Jahr) und verlängert sich jeweils um dieselbe Periode, wenn es nicht bis zum Ende der laufenden Periode gekündigt wird.
(2) Die Kündigung ist jederzeit über den Kundenbereich sowie über die Kündigungsschaltfläche auf der Website möglich („Verträge hier kündigen / Cancel contracts here").
(3) Nach dem Ende des Abonnements bleibt die freie Fassung nutzbar; Speichern und Exportieren sind nicht mehr möglich.
§ 12 Aktualisierungen im Abonnement
Während der Laufzeit des Abonnements stellt der Anbieter sämtliche Aktualisierungen der Software bereit — Erhaltungs- und Sicherheitsaktualisierungen ebenso wie neue Funktionen.
§ 13 Widerruf beim Abonnement
Für Verbraucher gilt: Das Abonnement ist eine digitale Dienstleistung. Das Widerrufsrecht erlischt nicht vorab durch Zustimmung zum sofortigen Beginn; im Fall des Widerrufs nach sofortiger Bereitstellung schuldet der Verbraucher Wertersatz für den bis zum Widerruf bereitgestellten Zeitraum (§ 356 Abs. 5, § 357a Abs. 2 BGB). Teil C — Dauerlizenz
§ 14 Nutzungsdauer
Die Nutzungsberechtigung der Dauerlizenz ist zeitlich unbefristet. Der Kunde darf die zuletzt erhaltene Fassung dauerhaft weiternutzen, auch wenn der Anbieter den Vertrieb einstellt.
§ 15 Aktualisierungen bei der Dauerlizenz
(1) Soweit der Kunde Verbraucher ist, stellt der Anbieter Aktualisierungen, die für den Erhalt der Vertragsmäßigkeit der Software erforderlich sind — insbesondere Sicherheitsaktualisierungen und Aktualisierungen zur Erhaltung der Funktionsfähigkeit in den zum Kaufzeitpunkt unterstützten, marktüblichen Browserumgebungen — für den gesetzlich maßgeblichen Zeitraum bereit und informiert ihn darüber (§ 327f BGB). Diese Pflicht ist durch Absatz 2 weder begrenzt noch bedingt.
(2) Darüber hinaus erhält der Kunde als freiwillige, über die gesetzliche Pflicht hinausgehende Zusatzleistung für zwölf Monate ab Kauf alle in diesem Zeitraum veröffentlichten neuen Funktionen und Funktionserweiterungen ohne Aufpreis. Ein Anspruch auf die Entwicklung bestimmter neuer Funktionen besteht nicht.
(3) Absatz 2 schränkt gesetzliche Rechte des Kunden, insbesondere aus § 327f BGB, nicht ein. Gegenüber Unternehmern gilt Absatz 2 entsprechend; gesetzliche Mängelrechte bleiben unberührt.
§ 16 Widerruf bei der Dauerlizenz
Für Verbraucher gilt: Die Dauerlizenz ist ein digitaler Inhalt. Das Widerrufsrecht erlischt vorzeitig unter den Voraussetzungen des § 356 Abs. 6 Nr. 2 BGB (ausdrückliche Zustimmung zum sofortigen Beginn, Kenntnisbestätigung, Bestätigung nach § 312f BGB). Part A — General provisions
Section 1 Scope, provider, contract language
(1) These General Terms and Conditions apply to all contracts on the provision of the software "MINILAB.PHOTO" between Christoph Klutsch, Bernardstraße 14, 63067 Offenbach am Main (the "provider") and the customer.
(2) The offer is directed exclusively at entrepreneurs within the meaning of § 14 BGB and at comparable commercial or self-employed professional users outside Germany — in particular at photographers working professionally, including on a secondary basis, at studios and at agencies. No contracts are concluded with consumers within the meaning of § 13 BGB. By placing an order the customer declares that they are acting in the exercise of their commercial or self-employed professional activity. The provider is entitled to contest the contract or to withdraw from it if this declaration is incorrect.
(3) The language of the contract is German. The German version of these terms is authoritative; the English version is provided for information only and creates no rights of its own.
Section 2 Subject matter of the contract
(1) MINILAB.PHOTO is an image editing application that runs entirely in the customer's browser. Image data is at no point transmitted to the provider or to third parties.
(2) The application is made available in two versions:
a) Free version. It can be used without charge, without a customer account and without a time limit. It does not technically contain the program part for saving and exporting files. There is no claim to its permanent availability.
b) Licensed version. It additionally allows images to be saved and exported (up to 6000 pixels on the longer edge), editing presets ("recipes") to be saved and loaded, and the contact sheet to be exported.
(3) The condition of the software follows from the product description on the website at the time the contract is concluded.
Section 3 Conclusion of the contract
(1) The presentation of the services on the website is not a binding offer but an invitation to place an order.
(2) By clicking the final order button the customer submits a binding offer.
(3) The contract is concluded as soon as the provider accepts the order by confirmation by email, at the latest, however, upon successful completion of the payment process (authorisation of the payment by the payment service provider). The contract text is stored and sent to the customer with the confirmation.
Section 4 Prices and payment
(1) All prices are net prices plus any applicable value added tax, which is calculated and shown during the order process under the law of the country of destination.
(2) Payment is processed by the payment service provider Stripe Payments Europe Ltd., Dublin, Ireland.
(3) The invoice is issued electronically and sent by email.
Section 5 Right of use, devices
(1) The provider grants the customer a simple, non-exclusive right to use the licensed version under the conditions of the product purchased in each case (Part B or Part C).
(2) The licence entitles the customer to use the software on up to three devices at the same time. The customer can deregister devices themselves at any time in the customer area and thereby free up a slot.
(3) The customer may not rent out the software, sublicense it or make it available to third parties for joint use. Under the subscription the right of use is not transferable. Under the perpetual licence the customer may sell the licence as a whole to a third party if they deactivate all of their own installations, delete all copies and notify the provider of the transfer so that it can be recorded; splitting the licence is not permitted.
(4) Every licensed version made available for download carries an embedded, pseudonymous customer identifier for investigating unauthorised distribution (details in the privacy policy).
Section 6 Warranty and liability
(1) The statutory provisions apply; towards consumers in particular §§ 327 et seq. BGB.
(2) The provider is liable without limitation in cases of intent and gross negligence, for injury to life, body and health, and under the German Product Liability Act. In the event of slightly negligent breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), liability is limited to the foreseeable damage typical for this type of contract. Liability is otherwise excluded.
(3) The provider does not owe uninterrupted availability of the version made available via the website.
Section 7 Suspension of the licence
(1) The provider is entitled to suspend a licence temporarily if
a) payment of the purchase price has been charged back and the claim for
payment continues to exist, or
b) there are concrete, documented indications that the licence or the
entitlement token has been passed on to third parties without
authorisation.
(2) The provider announces the suspension in advance in text form, stating the reason, and gives the customer an opportunity to comment within a period of at least seven days; the provider then decides again. Prior announcement is dispensed with only if it would frustrate the investigation or if immediate suspension is necessary to avert substantial disadvantages; the hearing and the renewed decision are then made up without undue delay.
(3) The suspension is lifted without undue delay as soon as the reason for it no longer applies, in particular after payment in full. Final withdrawal of the licence remains reserved to termination for cause.
Section 8 Discontinuation of the service
If the provider permanently discontinues operation of the licence service, it makes available to all holders of a perpetual licence a version that remains usable on a permanent basis without server contact and corresponds to the last delivered feature set. This obligation forms part of the purchase contract for the perpetual licence. The customer is advised that in the event of the provider's insolvency this undertaking is enforceable only in accordance with insolvency law.
Section 9 Right of withdrawal
Consumers have a statutory right of withdrawal in accordance with the withdrawal instructions (Widerrufsbelehrung). The instructions are given to every customer as a precaution; the declaration under Section 1 (2) remains unaffected.
Section 10 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Towards consumers this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the state of their habitual residence (Art. 6 (2) Rome I Regulation).
(2) If the customer is an entrepreneur, the exclusive place of jurisdiction is the provider's registered office. The provider may also sue the customer at the customer's general place of jurisdiction.
(3) Should any provision be invalid, the validity of the remaining provisions remains unaffected.
Part B — Subscription (monthly and annual)
Section 11 Term, renewal, termination
(1) The subscription runs for the chosen period (one month or one year) and is renewed by the same period in each case unless it is terminated by the end of the current period.
(2) Termination is possible at any time via the customer area and via the cancellation button on the website ("Verträge hier kündigen / Cancel contracts here").
(3) After the end of the subscription the free version remains usable; saving and exporting are no longer possible.
Section 12 Updates under the subscription
During the term of the subscription the provider makes available all updates to the software — maintenance and security updates as well as new functions.
Section 13 Withdrawal under the subscription
For consumers the following applies: the subscription is a digital service. The right of withdrawal does not lapse in advance through consent to immediate commencement; if withdrawal follows immediate provision, the consumer owes compensation for the value of the period provided up to the withdrawal (§ 356 (5), § 357a (2) BGB). Details are set out in the withdrawal instructions for subscriptions.
Part C — Perpetual licence
Section 14 Duration of use
The right of use under the perpetual licence is unlimited in time. The customer may continue to use the last version received on a permanent basis, even if the provider discontinues distribution.
Section 15 Updates under the perpetual licence
(1) Insofar as the customer is a consumer, the provider makes available, for the period determined by law, those updates that are necessary to maintain the conformity of the software — in particular security updates and updates to maintain functioning in the customary browser environments supported at the time of purchase — and informs the customer about them (§ 327f BGB). This obligation is neither limited nor conditioned by paragraph 2.
(2) In addition, as a voluntary supplementary service going beyond the statutory obligation, the customer receives, for twelve months from purchase, all new functions and functional extensions published within that period at no additional charge. There is no claim to the development of particular new functions.
(3) Paragraph 2 does not restrict the customer's statutory rights, in particular those under § 327f BGB. Towards entrepreneurs paragraph 2 applies accordingly; statutory rights in respect of defects remain unaffected.
Section 16 Withdrawal under the perpetual licence
For consumers the following applies: the perpetual licence is digital content. The right of withdrawal lapses early under the conditions of § 356 (6) no. 2 BGB (express consent to immediate commencement, acknowledgement of knowledge, confirmation pursuant to § 312f BGB).
